Terms of Service

These Terms of Service ("Terms") govern your use of the Summit Automations website and services (the "Service") operated by Summit Automations ("we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. Account Registration

You agree to provide accurate, complete information when creating an account, and to keep your password secure. You are responsible for all activity under your account. Notify us immediately of any unauthorized use.

3. Subscriptions and Billing

• Paid plans are billed in advance on a monthly or annual basis through Stripe.
• All fees are non-refundable except as required by law or expressly stated in these Terms.
• You authorize us to charge your payment method for the selected plan and any applicable taxes.
• You may cancel your subscription at any time through your billing portal. Cancellation takes effect at the end of the current billing period.
• We may change pricing with at least 30 days' notice; changes apply to the next billing cycle.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to access, tamper with, or use non-public areas of the Service or our systems.
• Reverse-engineer, decompile, or attempt to extract source code, except as permitted by law.
• Use the Service to send spam, malware, or harmful content.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the AI agent to generate content that is illegal, fraudulent, defamatory, or infringes third-party rights.

5. Your Content

You retain ownership of the data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely as needed to provide the Service. You are responsible for ensuring you have the right to submit Customer Data and that it does not violate any law or third-party right.

6. AI Agent Output

The Service uses AI models (provided by Anthropic) to generate responses, recommendations, and automated actions. AI output may be inaccurate or incomplete. You are responsible for reviewing AI output before acting on it, particularly for legal, financial, or compliance-sensitive decisions. The Service is not legal, financial, or professional advice.

7. Third-Party Services

The Service integrates with third-party providers (Anthropic, Stripe, Twilio, email providers, hosting). Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or for any other lawful reason. You may terminate your account at any time. Upon termination, your right to use the Service ends; provisions that by their nature should survive termination will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMMIT AUTOMATIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

11. Indemnification

You agree to indemnify and hold Summit Automations harmless from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Salt Lake County, Utah.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
